Definition
QSTONE is a division of Deficiency Detect Corp., a corporation incorporated in Ontario, Canada. Throughout these Terms of Service, "QSTONE" refers to the construction division of Deficiency Detect Corp., acting as the construction manager partnering with homeowners to represent their interests in getting renovation projects completed.
Scope of Services
QSTONE acts as the construction manager on your basement renovation project.
- We coordinate and oversee trades, suppliers, and subcontractors on your behalf.
- Our role is to represent you, the homeowner, to ensure the project is carried out to agreed-upon standards.
- We do not act as the general contractor; our role is focused on management, coordination, and homeowner advocacy.
Payments
Payments for services rendered by QSTONE must follow the terms outlined in your signed agreement.
- Invoices must be paid within the specified payment period stated in your agreement.
- Late payments may be subject to additional fees or interest charges.
- Failure to pay may result in suspension of project management services until the account is settled.
Homeowner Responsibilities
As the homeowner, you retain ultimate responsibility for the project, but QSTONE will assist in key areas to simplify the process.
- You must provide access to the property for trades, deliveries, and inspections.
- QSTONE will file and obtain necessary permits on your behalf, unless otherwise agreed in writing.
- You must maintain general homeowner's insurance coverage on your property throughout the duration of the project.
Responsibility for Third-Party Performance
QSTONE coordinates and oversees subcontractors and suppliers and assumes responsibility for ensuring their work is completed to the agreed-upon standards.
- We carefully select and manage reputable subcontractors to perform specialized tasks.
- We take responsibility for third-party subcontractor performance as part of our construction management services.
- QSTONE maintains limited liability insurance to cover its role in managing and coordinating the project.
- Any disputes with subcontractors will be managed directly by QSTONE to protect the homeowner's interests.
Service Availability
QSTONE will make every reasonable effort to keep projects on schedule.
- Unforeseen delays may occur due to weather, supply chain issues, or contractor availability.
- We will communicate promptly with homeowners regarding any delays or changes in scheduling.
Acceptable Conduct
All parties working on the project must adhere to professional standards.
- You agree to treat all trades, staff, and managers with respect.
- You may not request services that are unsafe, illegal, or outside the agreed project scope.
Limitation of Liability
QSTONE is not responsible for indirect, incidental, or consequential damages.
- Our liability is limited to the management services outlined in your signed agreement.
- We are not liable for damages caused by subcontractors, suppliers, or delays outside of our control.
- Maximum liability is limited to fees paid to QSTONE for the project in the preceding 12 months.
Changes to Terms
Deficiency Detect Corp., operating its QSTONE division, reserves the right to update these Terms of Service at any time.
- Significant changes will be communicated to clients in writing.
- Continued engagement with QSTONE after updates constitutes acceptance of the new terms.
Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
- Any disputes shall be resolved exclusively in the courts of Toronto, Ontario, Canada.
